These Terms of Service ("Terms") are a legally binding agreement between you ("Customer," "you," or "your") and NuWyre ("we," "us," or "our") governing your access to and use of the NuWyre platform and services.
By creating an account, starting a free trial, or using any part of the NuWyre service, you confirm that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree, do not use the service.
If you are using NuWyre on behalf of a business or organization, you represent that you have the authority to bind that entity to these Terms.
NuWyre provides an AI-powered virtual receptionist platform that:
NuWyre is a software tool, not a licensed answering service bureau. We provide technology; you remain responsible for your business operations and customer relationships.
To use NuWyre you must:
You are responsible for all activity that occurs under your account. Notify us immediately at support@nuwyre.com if you suspect unauthorized access to your account.
NuWyre offers a 14-day free trial for new customers. The following conditions apply:
NuWyre reserves the right to modify or discontinue the free trial offer at any time, and to end a trial early if we believe it is being abused.
NuWyre operates on a monthly subscription model. Your subscription renews automatically each month on the anniversary of your trial end date. You authorize us to charge your payment method on file for each renewal period.
Current pricing is available on our pricing page. We reserve the right to change pricing with 30 days' notice to active subscribers. Price changes will not affect your current billing period.
If a payment fails, we will attempt to retry the charge and notify you by email. If payment is not received within 7 days of the failed charge, your account may be suspended. Service will resume immediately upon successful payment.
Subscription fees do not include applicable taxes. You are responsible for any taxes applicable to your subscription in your jurisdiction.
You may cancel your NuWyre subscription at any time from your account dashboard. Cancellation takes effect at the end of your current billing period — your service will continue until then and you will not be billed again after that.
If NuWyre does not work as described and you are not satisfied with the service, you may request a full refund within 30 days of your first paid charge (not your trial start date). To request a refund, email support@nuwyre.com with your account email and a brief description of the issue. We will process refunds within 5 business days.
We do not offer partial refunds for unused time within a billing period after the 30-day guarantee has passed. If you cancel mid-period, your service continues through the end of that period.
As a NuWyre customer, you are responsible for:
NuWyre generates transcripts of calls handled by the AI receptionist. Depending on your jurisdiction, this may constitute "recording" a phone call under applicable wiretapping and telecommunications laws.
NuWyre provides a call recording disclosure feature that, when enabled, informs callers at the beginning of each call that the call may be recorded. We strongly recommend enabling this feature. However, enabling this disclosure does not guarantee compliance with all applicable laws, and NuWyre does not provide legal advice.
By using NuWyre, you agree to indemnify and hold NuWyre harmless from any claims, damages, or penalties arising from your failure to comply with applicable call recording laws.
When NuWyre handles calls on your behalf, it collects information about your callers, including their phone number, the content of their conversation, and any personal details they share. You acknowledge and agree that:

Violation of this section may result in immediate account termination without refund.
We aim to provide a reliable, high-availability service. However, NuWyre does not guarantee 100% uptime. Planned maintenance, third-party service outages (including Twilio, Supabase, or our AI providers), and unforeseen technical issues may cause temporary interruptions. We will communicate planned maintenance in advance where possible.
NuWyre's AI receptionist is designed to handle the majority of common business phone calls effectively. However, you acknowledge that:
SMS summaries are typically delivered within 30 seconds of call completion, but delivery times may vary based on network conditions. NuWyre is not responsible for SMS delivery failures caused by your mobile carrier.
The NuWyre platform, including its software, design, AI models, and documentation, is owned by NuWyre and protected by intellectual property laws. You are granted a limited, non-exclusive, non-transferable license to use the service during your subscription for your own business purposes.
You retain ownership of the business information, settings, and content you provide to configure your AI agent. By providing this content, you grant NuWyre a limited license to use it solely to provide the service to you. We do not use your business configuration data to train AI models or share it with other customers.
Call transcripts and summaries generated by NuWyre on your behalf are made available to you during your subscription. NuWyre does not claim ownership of your call data and does not use it for any purpose other than providing the service.
THE NUWYRE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
We do not warrant that the service will be error-free, uninterrupted, or completely secure. We do not warrant that the AI will handle every call perfectly or that all appointments booked by the AI will be accurate.
Some jurisdictions do not allow the exclusion of implied warranties, so the above may not apply to you in full.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, NUWYRE'S TOTAL LIABILITY TO YOU FOR ANY CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID TO NUWYRE IN THE THREE MONTHS PRECEDING THE CLAIM.
IN NO EVENT SHALL NUWYRE BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, LOSS OF BUSINESS, OR LOSS OF DATA, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
This limitation applies to all claims, whether based in contract, tort, negligence, strict liability, or any other theory.
You agree to indemnify, defend, and hold harmless NuWyre, its owners, employees, and agents from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or related to:
You may cancel your account at any time from your dashboard. Your access continues through the end of the current billing period.
We may suspend or terminate your account immediately if:
Where possible, we will give you notice and an opportunity to resolve the issue before terminating your account. In cases of serious violations, we may terminate without notice.
Upon termination, your access to the dashboard and all call data will end. Call data will be permanently deleted within 30 days of termination. We will not provide exports of call data after account closure unless requested within 7 days of cancellation.
These Terms are governed by the laws of the State of Texas, United States, without regard to its conflict of law principles.
Before filing any formal dispute, you agree to contact us at support@nuwyre.com and give us 30 days to resolve the issue informally. Most issues can be resolved quickly through direct communication.
If informal resolution fails, any dispute arising from these Terms or the service shall be resolved by binding individual arbitration under the rules of the American Arbitration Association (AAA). You waive any right to participate in a class action lawsuit or class-wide arbitration against NuWyre.
Either party may bring an individual claim in small claims court if it qualifies under that court's rules.
We may update these Terms from time to time. When we make material changes, we will:
Your continued use of NuWyre after the effective date constitutes your acceptance of the updated Terms. If you do not agree with the updated Terms, you may cancel your account before they take effect.

NuWyre will use commercially reasonable efforts to maintain service availability. We do not guarantee uninterrupted service and do not provide a specific uptime SLA. Planned maintenance will be announced with reasonable advance notice where possible. Unplanned outages will be communicated via our status page. NuWyre is not liable for damages resulting from service interruptions beyond what is stated in the Limitation of Liability section of these Terms.
NuWyre is not a HIPAA-covered entity and does not provide HIPAA-compliant services by default. NuWyre is not a suitable solution for businesses that handle protected health information (PHI) under HIPAA without a signed Business Associate Agreement (BAA). If your business is subject to HIPAA and you wish to use NuWyre, you must contact us at legal@nuwyre.com to execute a BAA before using the service. By using NuWyre without a BAA, you represent that your use of the service does not involve PHI. NuWyre disclaims all liability for HIPAA violations arising from use of the service without an executed BAA.
If a payment method fails, NuWyre will notify you by email and provide a grace period of three (3) calendar days to update your payment information. During the grace period your service will continue uninterrupted. If payment is not resolved within three days, your account will be suspended and AI call answering will stop. Your data will be retained for 30 days after suspension, after which it may be deleted in accordance with our Privacy Policy. Service will be restored within one hour of successful payment. NuWyre will make at least two email attempts to notify you before suspension.
NuWyre's standard data retention policy deletes call transcripts and caller data 90 days after each call, and account data 30 days after cancellation, as described in our Privacy Policy. However, in certain circumstances NuWyre may place a Legal Hold on a customer account, which suspends all automatic deletion and preserves all associated data indefinitely until the hold is lifted.

Removal of a Legal Hold requires written authorization from NuWyre's designated legal contact. Once a hold is removed, normal data retention and deletion policies resume. Data that would have been deleted under normal policies during the hold period will be scheduled for deletion within 30 days of the hold being lifted, unless otherwise required by law.
If you need your NuWyre data preserved beyond the standard retention period for your own legal purposes — for example, in connection with a dispute with a third party — you may request a Legal Hold by emailing legal@nuwyre.com with the following information:
NuWyre will confirm receipt and apply the hold within 2 business days. Customer-requested holds do not affect NuWyre's standard pricing or service terms.
